Can't I just use a contract template I found online?
Template contracts are designed for generic situations and rarely fit your specific circumstances. More importantly, they may not reflect the laws of your state or the current legal landscape in your industry. A custom agreement drafted by an attorney costs far less than litigating a dispute caused by an inadequate contract.
What should a good IP licensing agreement include?
At minimum: a clear description of the licensed IP, the scope and exclusivity of the license, geographic territory, duration, royalty structure and payment terms, quality control provisions, representations and warranties, indemnification, and termination triggers. We ensure all bases are covered.
What happens if someone breaches a contract?
Your options depend on the type of breach and the specific contract terms. We advise on whether to demand cure, terminate the agreement, seek damages, or pursue injunctive relief — and we represent you in negotiating a resolution or pursuing legal action.
Should I use an NDA before investor meetings?
